TotalEnergies applies to take over the Polish Biogas Group

French company TotalEnergies and Electricite Holdings intend to take over Polska Grupa Biogazowa, reported Money Poland. The application for consent to the acquisition was submitted to the Office of Competition and Consumer Protection in December 2022.
The Polish firm own 15 biogas-fired CHP plants and two photovoltaic farms in the country. In addition, the company is implementing 13 investment projects concerning the construction of further biogas CHP plants, including three photovoltaic farms in various locations in Poland.
Polish antitrust regulator UOKiK said: "the notified concentration concerns a merger within the meaning of Article 13(2)(2) of the Act of 16 February 2007 on competition and consumer protection, i.e. the takeover of control by TotalEnergies Gaz and Electricite Holdings SAS with its registered office in Courbevoie , France, over Polska Grupa Biogazowa S.A. with its registered office in Warsaw, and its subsidiaries".
UOKiK pointed out that TotalEnergies and Electricite Holdings, belongs to a capital group controlled by TotalEnergies SE, whose activity is focused on the energy sector and consists, among others, of mining and processing in the oil and gas industry. The French company also operates in the energy and renewable energy sectors.
The information from UOKiK also stated that the activity of Polska Grupa Biogazowa focuses on the production and wholesale of electricity and heat from agricultural biogas and on the provision of services related to the renewable energy sector (including drying of wood, collection of biomass and management of a biogas plant). PGB also produces energy from photovoltaic farms.
