Anaergia Inc. has announced that its subsidiary has signed an agreement to support the development of a major renewable natural gas (RNG) project in the City of Riverside, California.
Under the deal, Anaergia’s development-stage asset, Riverside Bioenergy Facility LLC (RivBF), will be transferred to a developer backed by institutional investors. RivBF holds a lease with the City of Riverside to construct new organic waste-to-RNG infrastructure at the Riverside Water Quality Control Plant (RWQCP), subject to final approvals.
Following financial close, Anaergia Technologies LLC will deliver engineering, procurement and construction (EPC) services. The scope includes the installation of biogas upgrading and conditioning systems, organic waste feedstock processing equipment, and key upgrades to the RWQCP. EPC activities are scheduled for 2026–2027, with Anaergia expecting to recognise revenue of around C$39 million.
In addition, Anaergia Services LLC will provide long-term operations and maintenance (O&M) services once construction is complete, ensuring continued reliability and efficiency.
The agreement reflects Anaergia’s “capital-light” strategy, which focuses on forming partnerships to accelerate project delivery while limiting the company’s own capital exposure. By transferring ownership to an investor-backed developer, Anaergia is able to focus on providing technology and operational expertise.
Assaf Onn, Chief Executive of Anaergia, said: “This project is a key step in supporting the City of Riverside’s sustainability goals, cutting the carbon footprint of its water treatment operations and meeting California’s SB1383 requirements for organic waste recycling. It also demonstrates our ability to deliver impactful climate solutions under our capital-light model.”
The closing of the transaction remains subject to lease amendments with the City of Riverside, regulatory approvals, and other standard conditions.
